Software License Agreement

1. License Grant

Subject to your continued compliance with these terms, our Terms of Service, and any applicable subscription, Your First Scholarship LLC (“YFS”) grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use SCOUT for your personal recruiting research. This license is granted on a per-account basis and does not include any rights of resale, redistribution, or commercial sublicensing.

2. Permitted Use

You may use SCOUT to research college coaching staffs, view aggregated academic data, build personal lists of schools, and contact coaches directly using publicly available information. SCOUT is licensed for personal, non-commercial use by the named account holder. One account per person.

3. Restrictions

You may not, and may not permit any third party to:

• Scrape, crawl, automate, or bulk-download data from SCOUT
• Resell, sublicense, rent, lease, or otherwise commercialize access to SCOUT or its data
• Redistribute, republish, or create derivative works from SCOUT data, including coach contact information and academic data
• Reverse engineer, decompile, or disassemble the SCOUT software
• Bypass, disable, or interfere with any usage limits, authentication, or access controls
• Use SCOUT to send unsolicited bulk communications or to harass coaches or institutions
• Share your account credentials with any other person
• Use SCOUT in any manner that violates applicable law, regulation, or third-party rights

4. Ownership and Intellectual Property

SCOUT, including the SCOUT name, logo, software, source code, design, user interfaces, and all proprietary compilations of data, is and remains the exclusive property of Your First Scholarship LLC. This Agreement does not transfer any ownership rights to you. Coach and academic data is aggregated from publicly available sources and government databases (including NCES/IPEDS); the underlying public-record data is not owned by YFS, but our compilations, enrichments, and presentations of that data are.

5. Updates and Modifications

YFS may release updates, new features, bug fixes, and changes to SCOUT at its sole discretion. Some updates may modify or remove features. Your continued use of SCOUT after an update constitutes acceptance of that update.

6. Termination

YFS may suspend, revoke, or terminate this license at any time if you breach this Agreement, our Terms of Service, or applicable law. Upon termination, you must immediately stop accessing SCOUT and delete any cached SCOUT data in your possession. Sections 3, 4, 7, 8, and 9 of this Agreement survive termination.

7. Warranty Disclaimer

SCOUT IS LICENSED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. YFS DOES NOT WARRANT THAT SCOUT WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA WITHIN SCOUT IS CURRENT OR COMPLETE. ALWAYS VERIFY IMPORTANT DETAILS DIRECTLY WITH THE RELEVANT SCHOOL OR COACH.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YFS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF SCOUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YFS’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID TO YFS FOR SCOUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law and Venue

This Agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles. Any dispute arising out of or related to this Agreement will be resolved exclusively in the state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction of those courts.

10. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Cancellation Policy, constitutes the entire agreement between you and YFS regarding your use of SCOUT and supersedes any prior agreements or understandings.
